Terms of Service

1. Acceptance of Terms

By accessing or using Merrily Plan ("the Service"), including the website at merrilyplan.com and the application at app.merrilyplan.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the Service.

2. Description of Service

Merrily Plan is a wedding planning application that provides tools for budget tracking, guest list management, vendor coordination, seating arrangements, and other wedding planning activities. The Service is available in two tiers:

  • Free Plan: all 32 planning tabs with local browser storage, JSON export/import, browser print, single plan, no account required
  • Pro Plan ($9/month or $79/year): includes all Free features plus cloud sync, real-time collaboration, AI-powered suggestions, PDF export, published wedding website with RSVP, unlimited plans, plan sharing, and priority support

3. Account Registration

The Free plan does not require an account. For the Pro plan, you must create an account with a valid email address. You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble the Service
  • Upload malicious code, viruses, or harmful content
  • Use automated tools to scrape or collect data from the Service
  • Resell or redistribute the Service without written permission
  • Use the Service to send spam or unsolicited communications

5. Your Content

You retain ownership of all content you create within Merrily Plan, including wedding plans, guest lists, budgets, and other planning data ("Your Content"). By using cloud sync features, you grant us a limited license to store and transmit Your Content solely for the purpose of providing the Service.

For the Free plan, Your Content is stored exclusively on your device. We have no access to or responsibility for locally stored data.

6. Payment and Billing

6.1 Pro Subscription

The Pro plan is billed monthly ($9/month) or annually ($79/year). Payment is processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

6.2 Free Trial

We may offer a free trial period for the Pro plan. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

6.3 Refunds

We offer a 30-day money-back guarantee on all Pro subscriptions. If you are not satisfied, contact us within 30 days of your initial purchase or renewal for a full refund.

6.4 Cancellation

You may cancel your Pro subscription at any time. Upon cancellation, you will retain access to Pro features until the end of your current billing period. After that, your account will revert to the Free plan. Your data remains accessible and exportable.

7. Intellectual Property

The Service, including its design, code, branding, and documentation, is owned by Merrily Plan and protected by intellectual property laws. You may not copy, modify, or create derivative works from the Service without our written consent.

8. AI Features

The Pro plan includes AI-powered suggestions for budgets, timelines, vendor questions, and other planning tasks. These suggestions are generated by artificial intelligence and are provided for informational purposes only. We do not guarantee their accuracy, completeness, or suitability. You are responsible for reviewing and validating all AI-generated content before acting on it.

9. Third-Party Services

The Service may integrate with or link to third-party services (e.g., payment processing, cloud storage providers). We are not responsible for the practices or content of third-party services. Your use of third-party services is subject to their respective terms and policies.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, updates, or unforeseen circumstances. The Free plan's offline functionality is not affected by server availability.

11. Limitation of Liability

To the maximum extent permitted by law, Merrily Plan and its officers, directors, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of data, revenue, or profits
  • Cost of substitute services
  • Damages arising from your use of or inability to use the Service

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Merrily Plan from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Wedding planning decisions are your responsibility; the Service is a tool to assist, not a substitute for professional advice.

14. Termination

We may suspend or terminate your access to the Service if you violate these Terms or engage in conduct that we determine to be harmful to the Service or other users. Upon termination, you may export your data within 30 days. After that period, we may delete your data from our servers.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Merrily Plan operates, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of the applicable jurisdiction.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms on this page with a new "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
